2KTA Architects (the "Client") is relocating its practice from Toronto to San Jose, California, and engages Bay Pulse Marketing (the "Service Provider") to rebuild the 2kta.com website on a modern stack while preserving the current 7-page architecture (Home, About, Projects index, Blog, two Blog posts, Contact). The new site will replace the existing MyWebsiteBuilder site, target the Bay Area architecture market while preserving the Toronto portfolio, and be built on Sanity + Cloudflare + GitHub — the same long-term stack used in Option 2 (Best), but with the current page count instead of individual project case study pages.
This SOW is one of three options offered to the Client. The Client may execute only one option SOW.
The Service Provider will design, build, and deploy a new 2kta.com website with the following deliverables:

Schedule begins on receipt of initial payment and Client provision of brand assets and project content.
The Client elects one of the two pricing structures below. Initial the chosen option:

Payment schedule (Options A1 / A2 — One-time): 50% (USD $2,875) due at signing to begin work; 50% (USD $2,875) due on cutover (Week 4). If Option A2 is elected, the Care Plan (USD $219/month) begins on day 31 after launch with a twelve-month minimum term.
Payment schedule (Option B — Subscription): First month due at signing. Subsequent months auto-billed on the same day each month for a minimum of twelve (12) months. After the minimum term, billing converts to USD $219/month and is cancellable with 30 days' written notice.
All amounts are in U.S. Dollars. Payment by credit card (Stripe), cash, check, or money order. Late payments accrue 1.5%/month after 15 days past due.
The Client receives unlimited reasonable revision requests during the 30 days following cutover. Revisions are defined as adjustments to design, copy, or layout within the agreed scope of Section 2. New pages, new features, individual project case study pages, or major design rework outside the scope are billed at USD $125/hour or rolled into a new SOW.
The USD $219/month Bay Pulse Care Plan (Modern Rebuild tier) — required for Option A2 starting on day 31 after launch, with a twelve-month minimum — covers each calendar month:
Not included in the standard Care Plan (billed at USD $125/hour or quoted separately): new pages or sections, individual project case study pages (available at $300 each), new CMS schema fields, design overhauls or rebrands, content writing beyond minor edits, migrations to a different platform, and any single task estimated to exceed 30 minutes outside the original scope. Unused content-edit hours do not roll over beyond the following month.
All design, code, copy, configuration, and creative output produced under this SOW becomes the sole property of the Client upon final payment. The GitHub repository, Sanity Studio, and Cloudflare account are owned by the Client throughout. The Service Provider retains the right to reference the work in its portfolio and case studies unless the Client requests otherwise in writing.
This SOW commences on the Effective Date and concludes at the end of the 30-day revision period (Option A1) or, for Option A2, continues with the Care Plan beyond the revision period until cancelled per its terms. Either party may terminate for material breach with 30 days' written notice. Fees paid for completed work are non-refundable. In the event of termination, the Service Provider will provide all in-progress assets to the Client.
Each party will hold the other's non-public information in confidence. The Service Provider is engaged as an independent contractor, not an employee, agent, or partner of the Client.
The Service Provider's total liability under this SOW is limited to the fees paid by the Client. The Service Provider does not guarantee specific search rankings, traffic, or business outcomes, though the performance commitments in Section 2 (LCP under 1.5 s, Lighthouse 90+) are objectively measurable and will be met or remediated.
This SOW is governed by the laws of the State of California, without regard to conflict-of-laws principles.
