1. Project Overview

2KTA Architects (the "Client") is relocating its practice from Toronto to San Jose, California. The Client engages Bay Pulse Marketing (the "Service Provider") to optimize the existing 2kta.com website on its current MyWebsiteBuilder platform to better position the firm for the Bay Area architecture market, while preserving the platform and its limitations.

This SOW is one of three options offered to the Client. The Client may execute only one option SOW.

2. Scope of Services & Deliverables

The Service Provider will deliver the following on the existing 2kta.com site within the current platform's capabilities:

Out of scope: The Service Provider cannot, under this option, materially improve the site's mobile Largest Contentful Paint (currently 8.6 s) due to MyWebsiteBuilder runtime constraints, nor introduce custom HTML/CSS frameworks, headless CMS, or modify URL structure. These constraints are platform-imposed and not within the Service Provider's control.

Schedule begins on receipt of platform credentials and the initial payment defined in Section 4.

4. Compensation & Payment Terms

The Client elects one of the two pricing structures below. Initial the chosen option:

B. Monthly subscription. No upfront fee. Covers all deliverables in Section 2, the 30-day revision window, and ongoing minor content updates and monthly performance reports per the scope in Section 6. Six-month minimum term ($3,894 total).USD $649 / month

Payment schedule (Option A — One-time): 50% (USD $1,747.50) due at signing; remaining 50% (USD $1,747.50) due upon completion of all deliverables.

Payment schedule (Option B — Subscription): First month due at signing. Subsequent months auto-billed on the same day each month for a minimum of six (6) months. Cancellable after the minimum term with 14 days' written notice.

All amounts are in U.S. Dollars. Payment by credit card (Stripe), cash, check, or money order. Late payments accrue 1.5%/month after 15 days past due.

5. Revisions & Acceptance

The Client receives unlimited reasonable revision requests during the 30 days following delivery (Day 10 through Day 40). Revisions outside the scope defined in Section 2, or requested after Day 40, are billed at USD $125/hour or rolled into a new SOW.

6. Ongoing Service Scope (Option A2 Care Plan or Option B Subscription)

If the Client elects Option A2 (One-time + Care Plan at $179/month) or Option B (Monthly subscription at $649/month), the following is included each month beyond initial delivery:

Not included (billed at USD $125/hour or quoted separately): new pages or sections, design overhauls, content writing beyond minor edits, migrations to a new platform, new integrations, and any single task estimated to exceed 30 minutes outside the original scope.

7. Intellectual Property

All copy, configuration, and creative output produced under this SOW becomes the sole property of the Client upon final payment. The Service Provider retains the right to reference the work in its portfolio and case studies unless the Client requests otherwise in writing.

8. Term & Termination

This SOW commences on the Effective Date and concludes at the end of the 30-day revision period (Option A) or at the end of the agreed subscription term (Option B). Either party may terminate for material breach with 14 days' written notice. Fees paid for completed work are non-refundable.

9. Confidentiality & Independent Contractor

Each party will hold the other's non-public information in confidence. The Service Provider is engaged as an independent contractor, not an employee, agent, or partner of the Client.

10. Limitations of Liability

The Service Provider's total liability under this SOW is limited to the fees paid by the Client. The Service Provider does not guarantee specific search rankings, traffic, or business outcomes.

11. Governing Law

This SOW is governed by the laws of the State of California, without regard to conflict-of-laws principles.
